Terms of Service
These terms govern your use of GoBrief. By signing up, you agree to them. If you represent a company, you also agree on behalf of that company.
Pre-incorporation notice. GoBrief is currently operated by Brian Kaplan as a sole proprietor in Nashville, Tennessee, United States, pending formation of GoBrief LLC (a Tennessee limited liability company). On LLC formation, the entity becomes the successor-in-interest and operator under these documents. These policies have been reviewed internally against standard SaaS and privacy patterns and will receive outside-counsel review before customer-paid engagements scale. Any material updates will be versioned here and emailed to active customers 30 days in advance.
1. Who's who
“GoBrief,” “we,” “us” refers to the GoBrief service, currently operated by Brian Kaplan as a sole proprietor in Nashville, Tennessee, United States, pending formation of GoBrief LLC (a Tennessee limited liability company). Upon formation, GoBrief LLC becomes the operator of the service and successor-in-interest under these Terms without further notice. “You” refers to the individual accepting these terms and, where applicable, the organization you represent.
2. The service
GoBrief is a creative-operations platform. You use it to deliver and capture creative assets. You send branded links to partners (sponsors, artists, advertisers, vendors, franchisees, speakers, teammates) who upload or download assets, reviewed against specifications you define.
3. Your account
You must be at least 18 years old to create an account. You're responsible for keeping your sign-in credentials secure and for any activity on your account. If you believe your account has been accessed without authorization, contact security@gobrief.co immediately.
Magic-link recipients (people you send collection links to) are not account holders. They have a narrower set of rights defined in Section 9 below.
4. Your content
“Your Content” means anything you or your partners upload, submit, or store in your workspace: creative assets, text, logos, contracts, briefs, metadata, comments. You keep all ownership rights in Your Content. You grant us a limited, non-exclusive, worldwide license to host, process, transmit, back up, display, and modify Your Content solely as necessary to provide the service. For example, to route approved assets to your chosen destinations, to run spec-validation, or to apply the AI analysis described in Section 6.
You represent and warrant that you have all rights necessary to upload and share Your Content. Don't upload anything you don't have the right to use.
5. Acceptable use
You and your partners must follow our Acceptable Use Policy. In short: don't use GoBrief to host or distribute illegal content, infringe others' rights, abuse us or our infrastructure, or circumvent our security or billing. We can suspend or terminate accounts that violate it, with or without notice depending on severity.
6. AI processing
We run automated analysis on files uploaded to your workspace. The analysis is limited to three purposes:
- Deterministic spec validation, dimensions, color space, DPI, bleed, file type, duration. Runs on metadata only. Always on.
- AI content assistance, content summaries, caption drafts, spec hints, transcript generation. Runs via the Anthropic API (Claude) for images, PDFs, and text, and via Cloudflare Workers AI (Whisper) for audio. Opt-out available at the recipient upload page and for admin-owned content at privacy@gobrief.co.
- Never, training data for third-party models, advertising targeting, profiling, or automated decisions with legal effect.
Anthropic does not use API inputs or outputs to train their models and retains data only for abuse-monitoring (currently up to 30 days). Cloudflare Workers AI processes data only as necessary to return the requested inference and does not train on inputs. Our data processing agreements with both providers are incorporated by reference in our Data Processing Addendum.
Partners who receive a magic link see an AI-processing disclosure before their first upload and may opt out per-link. Opting out disables the AI content assistance pass only; deterministic spec validation continues to run because it is metadata-only and not subject to the same privacy considerations.
7. Your responsibilities to your partners
When you send a link to a recipient who isn't a GoBrief account holder, you're the one asking them to upload or receive content. You're responsible for:
- Having a lawful basis for the exchange under applicable data-protection law (one of: consent, performance of a contract, legitimate interest, or another lawful basis under GDPR Art. 6 / UK GDPR / CCPA).
- Giving required notice to the partner about how their data will be used, processed, stored, and shared downstream.
- Honoring data-subject requests (access, deletion, correction, portability) passed through to you. If a partner asks us directly, we will forward the request to you within 5 business days and assist you in responding.
- Not using GoBrief to collect special-category personal data (health, biometric, genetic, racial, political, etc.) without explicit consent and a lawful basis.
8. Fees, plans, and changes
Free plan is free, subject to quotas. Paid plans are billed monthly or annually through Stripe. Usage over your plan's included quota is billed at the published overage rate. See /pricing for current rates.
We can change prices on new subscriptions and renewals at any time. Existing subscription prices stay the same until the end of your current term. We'll email you at least 30 days before a renewal price change. You can cancel any time in the billing portal; cancellations take effect at the end of your current paid period.
9. Recipients (non-account-holders)
If you received a GoBrief link from someone else and don't have an account: by using the link, you agree to our Acceptable Use Policy and confirm that you have the right to upload or receive the content in question. You are not creating an account or agreeing to the rest of these Terms beyond that point. Your privacy rights are covered in the Privacy Policy.
10. Our warranties (what we promise)
We'll use commercially reasonable efforts to keep the service available and secure. Business, Scale, and Enterprise plans include a formal SLA with credit mechanics, available on request (see /security); Starter and Pro are provided on a commercially-reasonable-efforts basis without an SLA. Otherwise, the service is provided “as is” without warranties, to the maximum extent allowed by law.
11. Limitation of liability
To the maximum extent permitted by applicable law, our total aggregate liability to you under these Terms, across all claims, is capped at the greater of:
- (a) the fees you paid us in the 12 months before the claim, or
- (b) USD $10,000 in the aggregate.
Neither party is liable for indirect, incidental, special, consequential, or punitive damages (lost profits, lost data, business interruption, loss of goodwill), even if advised of the possibility.
The above caps do not apply to (i) either party's indemnification obligations under Section 12, (ii) your payment obligations under Section 8, (iii) gross negligence or willful misconduct, (iv) fraud, or (v) any liability that cannot be limited or excluded under applicable law (for example, statutory consumer-protection rights in certain jurisdictions).
12. Indemnity
You'll defend and indemnify us against claims arising from (a) Your Content, (b) your violation of these Terms, or (c) your violation of applicable law.
13. Termination
You can cancel any time. We can suspend or terminate your account for material breach of these Terms, non-payment, or acceptable-use violations, typically with notice unless urgent. On termination, we'll make your data available for export for 30 days, then delete it, except where retention is required by law, audit obligations, or active legal-hold flags.
14. Governing law + disputes
These Terms are governed by the laws of the State of Tennessee, United States, without regard to conflict-of-laws rules. Disputes will be resolved in the state or federal courts located in Davidson County, Tennessee, and you consent to personal jurisdiction there. You may bring qualifying claims in small-claims court in your home jurisdiction.
You and we each waive the right to a jury trial. Neither party may bring or participate in a class action, class-wide arbitration, or representative proceeding against the other. This class-action waiver does not apply where prohibited by applicable law.
Before filing a claim, the parties will attempt good-faith resolution by email for at least 30 days (legal@gobrief.co).
15. Data protection + cross-border transfers
Your use of GoBrief is subject to our Privacy Policy and, where you act as a data controller under GDPR / UK GDPR, our Data Processing Addendum, which is incorporated here by reference. The DPA includes the EU Standard Contractual Clauses (Module Two / Controller-to-Processor) for transfers of personal data from the EEA, UK, and Switzerland to the United States.
As a California resident, you have rights under the California Consumer Privacy Act (CCPA/CPRA), including the right to know, delete, correct, and opt out of “sale” or “sharing” of your personal information. We do not sell personal information. To exercise your rights, email privacy@gobrief.co.
We process your customer account data (name, email, billing info, usage telemetry) as a data controller. We process content you upload and the partner data you collect as a data processor on your behalf and under your documented instructions.
16. Third-party liability
GoBrief relies on third-party infrastructure (Cloudflare, Anthropic, Stripe, Resend) to deliver the service. Where failure of a third-party service causes a service disruption, our liability is limited to credits or refunds as described in the applicable SLA (see /security). We are not liable for third-party acts or omissions outside our reasonable control.
17. Changes to these Terms
We can update these Terms from time to time. Material changes require 30 days' notice before taking effect, sent by email and posted here. Continued use after the effective date means you accept the change. If you don't, cancel before then.
